THIS AGREEMENT CONTAINS RIGOROUS EXCLUSIONS OF ALL WARRANTIES, STRICT RESTRICTIONS ON REMEDIES, COMPLETE WAIVERS OF LIABILITY, A MANDATORY BINDING INDIVIDUAL ARBITRATION AGREEMENT, AND AN EXPRESS WAIVER OF ANY RIGHT TO PARTICIPATE IN CLASS-ACTION LITIGATION. BY ACCESSING OR USING PREFLIGHT AI, YOU EXPLICITLY AND VOLUNTARILY ENTER INTO A LEGALLY ENFORCEABLE CONTRACT AND AGREE TO BE BOUND BY EVERY TERM SET FORTH HEREIN.
1. Preamble, Contract Formation & Authority
This End User License Agreement and Terms of Service (“Agreement”, “Terms”) is executed by and between PreFlight AI Technologies (“PreFlight AI”, “Company”, “we”, “us”, or “our”) and the individual researcher, scholar, laboratory, academic department, university, research institute, or corporate entity accessing, browsing, evaluating, or subscribing to the service (“User”, “Author”, “Licensee”, or “you”).
If you access or subscribe to the Service on behalf of a laboratory, university, foundation, or enterprise, you represent and warrant that you possess full legal authority to bind said institution to this Agreement. If you do not possess such authority, or if you do not unconditionally agree to these Terms, you must not use the Service.
2. Nature of the Service: Experimental Heuristic Decision Support
PreFlight AI is an automated algorithmic computer program designed to perform preliminary syntactic parsing, BibTeX tokenization, heuristic cross-referencing against third-party public academic databases (e.g., Crossref, OpenAlex, PubMed, Retraction Watch), and probabilistic semantic text alignment checks.
You expressly recognize, understand, and agree that:
- PreFlight AI is NOT an accredited peer-review body, academic journal, editorial board, scientific referee, legal counselor, or scientific authority.
- PreFlight AI does NOT evaluate the empirical truth, laboratory correctness, ethical propriety, or mathematical validity of your scientific assertions, experiments, or hypotheses.
- All scores, flags, highlight bands, baseline recommendations, and compliance dossiers are probabilistic, heuristic approximations generated by automated software that may contain omissions, discrepancies, false positives, or false negatives.
3. Intellectual Property Rights & Manuscript Ownership
Researcher Manuscript Ownership
You retain 100% sole, absolute, and unencumbered ownership, copyright, and patent priority in all scientific manuscripts, LaTeX files, figures, tables, and mathematical formulas submitted to PreFlight AI. PreFlight AI never acquires or asserts publication rights in your research.
Zero Model Training and User-Controlled Retention
PreFlight AI operates under a client-side execution model. Mathematical formulas and LaTeX syntax parsing occur directly inside your browser session. Full drafts are not persisted in our cloud databases. Isolated claims may use cloud verification with separate retention controls. Manuscript data is not used for model training. Local recovery files may persist until cleared; account and billing records are separate. See the Privacy Policy for deletion scope and provider limitations.
Platform Intellectual Property
All software code, WebAssembly binaries, AST parsers, user interface designs, visual layouts, and documentation comprising PreFlight AI are the exclusive intellectual property of PreFlight AI. You receive a limited, revocable, non-exclusive license for personal or lab research use.
4. Absolute Disclaimer of Warranties ("AS IS")
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW:
THE SERVICE, WORKBENCH, AUDIT DOSSIERS, PARSERS, AND ALL ASSOCIATED OUTPUTS ARE PROVIDED STRICTLY ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES, GUARANTEES, REPRESENTATIONS, OR CONDITIONS OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY.
PREFLIGHT AI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SCIENTIFIC RIGOR, FREEDOM FROM PROGRAMMING DEFECTS, OR UNINTERRUPTED AVAILABILITY.
WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, PREFLIGHT AI MAKES NO WARRANTY OR GUARANTEE THAT: (I) USE OF PREFLIGHT AI WILL RESULT IN MANUSCRIPT ACCEPTANCE BY ANY JOURNAL, CONFERENCE, PUBLISHER, OR PEER-REVIEW COMMITTEE; (II) THE SERVICE WILL CATCH EVERY RETRACTED PAPER, DEAD DOI, OR MISATTRIBUTED STATEMENT; (III) CITATION SUGGESTIONS ARE COMPREHENSIVE OR FREE FROM INACCURACIES; OR (IV) THE PLATFORM WILL PREVENT DESK REJECTIONS OR EDITORIAL CRITIQUES.
5. Comprehensive Limitation of Liability
TOTAL EXCLUSION OF CONSEQUENTIAL, ACADEMIC & FINANCIAL DAMAGES
UNDER NO CIRCUMSTANCES SHALL PREFLIGHT AI, ITS DEVELOPERS, EMPLOYEES, CONTRACTORS, OR SUPPLIERS BE LIABLE FOR ANY CLAIM, DEMAND, LOSS, OR DAMAGE WHATSOEVER, INCLUDING BUT NOT LIMITED TO:
- Any manuscript rejection, desk rejection, editorial deferral, or peer-review criticism;
- Loss of academic reputation, grant funding, institutional sponsorship, fellowship, or tenure advancement;
- Charges, penalties, or inquiries relating to academic dishonesty or author misconduct;
- Missed submission deadlines, conference portal lockouts, or timezone synchronization delays;
- Loss of research data, local storage cache corruption, or LaTeX formatting irregularities.
STRICT LIABILITY CEILING: IN ALL CIRCUMSTANCES, THE MAXIMUM AGGREGATE LIABILITY OF PREFLIGHT AI TO YOU FOR ALL CLAIMS OF ANY NATURE SHALL BE STRICTLY LIMITED TO THE LESSER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO PREFLIGHT AI IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT; OR (B) FIFTY UNITED STATES DOLLARS ($50.00 USD).
6. Sole and Non-Delegable Authorial Responsibility
You affirm that you are the sole and ultimate author and custodian of your scientific draft. You acknowledge that automated heuristics can hallucinate, omit pertinent literature, misinterpret context, or flag non-retracted works due to upstream indexing delays in public academic registries.
You covenant and agree that you will independently examine, verify, cross-check, and take full legal and scientific responsibility for every bibliography entry, DOI, author citation, mathematical derivation, claim-citation pair, and text diff prior to submitting your manuscript to any editorial office or publishing platform.
7. Prohibited Uses & Infrastructure Integrity
You agree not to engage in any of the following strictly prohibited activities:
- Reverse engineering, decompiling, or extracting proprietary source code, WASM modules, or prompt embeddings;
- Deploying automated scripts, bots, spiders, crawlers, or scraping tools against our API endpoints;
- Pooling, sublicensing, reselling, or sharing individual license seats across unauthorized commercial entities;
- Attempting to bypass license key cryptography, paywalls, rate limits, or verification gates;
- Uploading classified, export-controlled (ITAR/EAR), or patient health (HIPAA) materials to the platform.
8. Subscriptions, Digital Delivery & All Sales Final Policy
Instant Digital Fulfillment: All digital software passes, licenses, and subscriptions (Emergency Deadline Pass, Researcher Pro, Lab Multi-Seat) are fulfilled and activated instantly upon payment confirmation via our merchant of record (Dodo Payments).
All Sales Strictly Final: Due to the immediate provisioning of proprietary computational algorithms, cloud API tokens, and deterministic parsers, ALL TRANSACTIONS ARE STRICTLY FINAL AND NON-REFUNDABLE. PreFlight AI provides a zero-cost Free Starter tier specifically so you may test compatibility, LaTeX parsing, and UI workflows prior to making any financial commitment.
Cancellation: You may cancel future automatic subscription renewals at any time with one click from Account Settings with zero cancellation fees. Access remains fully active through the conclusion of your prepaid billing period.
9. Mandatory Individual Arbitration & Class Action Waiver
Any controversy, dispute, or claim arising out of or relating to this Agreement, your use of PreFlight AI, or the breach, termination, or invalidity thereof, shall be determined and resolved solely and exclusively by final and binding individual arbitration administered under standard commercial arbitration rules.
CLASS ACTION WAIVER: YOU EXPLICITLY WAIVE ANY RIGHT TO COMMENCE, JOIN, OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING AGAINST PREFLIGHT AI. ALL CLAIMS MUST BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY.
10. Indemnification & Hold Harmless
You agree to defend, indemnify, and hold completely harmless PreFlight AI, its officers, developers, and assigns from and against any and all claims, liabilities, lawsuits, damages, losses, costs, and legal fees arising from: (i) your manuscript drafts, research findings, mathematical equations, or data; (ii) any alleged infringement of third-party copyright, patent, or intellectual property; (iii) your breach of any academic integrity code or publication policy; or (iv) your breach of this Agreement.
